These Terms of Service (the "Terms") govern your access to and use of the MaLa Apparel website, online store, content, products, wholesale services, and OEM/ODM services (collectively, the "Services"). Throughout these Terms, "MaLa Apparel," "we," "us," and "our" refer to the operator of this store. "You" and "your" refer to the website visitor, customer, buyer, or the business on whose behalf the Services are used.
Our online store is hosted by Shopify, which provides the ecommerce platform that enables us to offer the Services. By visiting our website, submitting an inquiry, requesting a quotation or sample, placing an order, or otherwise using the Services, you agree to these Terms and to any quotation, pro forma invoice, purchase order confirmation, specification sheet, or other written agreement applicable to your order.
1. Eligibility and Business Authority
You must be legally capable of entering into a binding agreement. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. Our wholesale and OEM/ODM Services are primarily intended for business customers, including brands, retailers, distributors, importers, and other professional buyers.
2. Product and Website Information
We make reasonable efforts to present product descriptions, colors, materials, measurements, images, and other information accurately. However, website displays, photography, lighting, screen settings, fabric batches, washing processes, and manufacturing methods can cause differences in appearance. Website content is provided for general information and does not replace the specifications confirmed for a particular order.
We may update, correct, suspend, or discontinue any product, content, or feature without notice. We do not guarantee that every product shown on the website is available in every fabric, color, size, quantity, or market.
3. Wholesale, OEM, and ODM Inquiries
You may submit reference images, samples, sketches, tech packs, measurement charts, logo files, artwork, packaging requirements, and other project information. We will review the information and may request clarification before preparing a quotation or sample.
An inquiry, discussion, preliminary estimate, website message, or sample request does not by itself create a binding production order. An order becomes binding only when the commercial terms and specifications are confirmed in writing and any required payment has been received.
4. Minimum Order Quantities
Our typical minimum order quantities currently start from:
- T-shirts: 240 pieces
- Trousers: 400 pieces
The final minimum order quantity may vary by product style, fabric, color, size breakdown, wash, printing, embroidery, label, packaging, or other customization requirement. The applicable quantity will be stated in our quotation or order confirmation.
5. Quotations, Prices, Taxes, and Payment
Unless otherwise stated, quotations are valid only for the period shown on the quotation and are based on the specifications, quantities, materials, exchange rates, and delivery requirements available at that time. Changes requested after quotation may require a revised price, minimum quantity, or production schedule.
Currency, payment schedule, bank charges, sample charges, tooling or development charges, taxes, shipping costs, insurance, customs duties, and other fees will be handled as stated in the applicable quotation, pro forma invoice, or order confirmation. Unless expressly included in writing, prices do not include import duties, destination taxes, customs-clearance charges, or other charges imposed outside the place of shipment.
You are responsible for providing complete and accurate billing and payment information. We may postpone sample development, material purchasing, production, or shipment until required payments and approvals are received and cleared.
6. Samples and Buyer Approval
Sample availability, charges, shipping fees, and development time will be confirmed before sample work begins. A sample is produced for review and may differ from bulk production because of sample-scale processes, available materials, or later approved changes.
You are responsible for carefully checking samples, measurements, fit, fabric, color, artwork, logo placement, labels, packaging, and all other specifications. Your written approval authorizes us to proceed based on the approved information. Changes requested after approval may result in additional charges and revised timelines.
7. Customer-Supplied Designs and Intellectual Property
You retain any rights you lawfully hold in designs, artwork, trademarks, logos, tech packs, and other materials that you provide. You grant us a limited permission to use those materials only as reasonably necessary to review the project, prepare quotations and samples, manufacture the products, perform quality checks, package goods, and fulfill the order.
You represent and warrant that you own or have obtained all rights and permissions necessary for the materials and instructions you provide, and that our authorized use of them will not infringe another party's intellectual-property, privacy, publicity, or other rights. We may refuse or suspend work that we reasonably believe could violate law or third-party rights.
Unless a separate written confidentiality or non-disclosure agreement is signed, no additional confidentiality terms apply beyond our Privacy Policy and the reasonable care we use in handling customer project materials.
8. Materials, Colors, Measurements, and Production Variations
Textile and garment manufacturing involves normal commercial tolerances. Minor variations may occur between samples and bulk production or between individual units, including variations in shade, fabric texture, weight, washing effect, stitching, placement, measurements, shrinkage, and packaging. Such minor variations are not defects where they fall within the approved specification, agreed tolerance, or reasonable industry standard.
If an approved material, component, or color becomes unavailable, we will seek your approval before using a material substitution that materially affects the confirmed product.
9. Production and Delivery Estimates
Sample, production, and delivery dates are estimates unless expressly guaranteed in a signed written agreement. Timelines normally begin only after all required payments, materials, specifications, artwork, and approvals have been received. Buyer changes, delayed approvals, material shortages, carrier delays, customs procedures, and events outside our reasonable control may affect timing.
10. Shipping, Customs, Title, and Risk
The shipping method, delivery term, freight charges, insurance, export documents, transfer of title, and transfer of risk will be determined by the applicable quotation, pro forma invoice, order confirmation, and any agreed Incoterm. You are responsible for providing accurate consignee and delivery information.
Unless otherwise agreed in writing, you are responsible for destination-country import requirements, permits, product or labeling compliance, customs clearance, duties, taxes, inspections, and related fees. Delivery dates supplied by carriers are estimates, and carrier or customs delays are outside our direct control.
11. Order Changes and Cancellations
Requests to change or cancel an order must be made in writing and are subject to our written acceptance. Once sample development, material purchasing, printing, embroidery, washing, labeling, packaging, or bulk production has begun, changes or cancellations may not be possible. You may be responsible for completed work, committed materials, non-recoverable costs, and other reasonable cancellation charges.
12. Returns, Defects, and Claims
Customized, private-label, OEM, and ODM products generally cannot be returned solely because of a change of mind. Returns, refunds, replacement, repair, credit, or other remedies are governed by our applicable Return or Refund Policy and the written terms of the relevant order.
You should inspect shipments promptly after receipt. Any shortage, damage, defect, or material non-conformity claim must be submitted in writing within the period stated in the applicable quotation, invoice, order confirmation, or Return or Refund Policy, together with the order number and reasonable supporting evidence. Products should not be used, altered, relabeled, resold, or destroyed before we have had a reasonable opportunity to review the claim.
Nothing in these Terms limits any mandatory rights or remedies that cannot legally be excluded.
13. Acceptable Use
You may not use the Services to:
- Violate applicable law, regulation, sanctions, export-control requirements, or another party's rights;
- Submit unlawful, fraudulent, misleading, infringing, harmful, or malicious material;
- Interfere with the website, Shopify platform, security features, networks, or other users;
- Introduce malware, scrape the website without permission, or attempt unauthorized access;
- Misrepresent your identity, authority, order requirements, or intended use of products; or
- Use our content, product images, branding, or website materials without authorization.
14. Our Website Content and Intellectual Property
Except for customer-supplied materials and third-party content, the website, text, graphics, photographs, layout, branding, and other content are owned by or licensed to MaLa Apparel and are protected by applicable intellectual-property laws. You may access the website for legitimate business evaluation and purchasing purposes, but you may not copy, reproduce, republish, distribute, modify, or commercially exploit our content without prior written permission.
15. Third-Party Services and Links
The Services may include links to or integrations with Shopify, payment providers, WhatsApp, carriers, and other third parties. We do not control and are not responsible for third-party websites, platforms, content, policies, availability, or performance. Your use of a third-party service may be subject to separate terms and privacy policies.
16. Privacy
Our collection and use of personal information are described in our Privacy Policy. By using the Services, you acknowledge that information may be processed by Shopify and other service providers as described in that policy.
17. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the website and general online content are provided on an "as available" basis. We do not warrant that the website will always be uninterrupted, error-free, secure, or suitable for every purpose. Product-specific obligations and warranties, if any, are limited to those expressly stated in the applicable written order documents and any rights that cannot legally be excluded.
18. Limitation of Liability
To the maximum extent permitted by applicable law, MaLa Apparel and its personnel, suppliers, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, including loss of profit, revenue, opportunity, goodwill, or data, arising from the Services or an order.
To the maximum extent permitted by applicable law, our total liability arising from a particular product order will not exceed the amount actually paid to us for the affected portion of that order. These limitations do not apply to liability that cannot legally be limited or excluded.
19. Indemnification
To the extent permitted by law, you agree to indemnify and hold MaLa Apparel and its personnel and service providers harmless from third-party claims, losses, damages, liabilities, and reasonable costs arising from your breach of these Terms, unlawful use of the Services, customer-supplied materials or instructions, infringement of third-party rights, or violation of applicable law.
20. Force Majeure
We will not be responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, government action, sanctions, labor disruption, power or internet failure, material shortages, transportation interruption, port congestion, carrier disruption, or customs delay. We will use reasonable efforts to communicate material effects and resume performance when practicable.
21. Suspension and Termination
We may suspend or terminate access to the Services, cancel an inquiry, or refuse an order where reasonably necessary because of non-payment, suspected fraud, unlawful conduct, infringement concerns, sanctions or compliance risks, abuse, threats, security concerns, or a material breach of these Terms. Rights and obligations intended to survive termination will remain effective.
22. Governing Law and Disputes
These Terms and any dispute relating to the Services or an order are governed by the laws applicable to the MaLa Apparel operating entity, without limiting any mandatory protections that apply under the law of your jurisdiction. The parties will first attempt in good faith to resolve a dispute through written negotiation. If no resolution is reached, the dispute may be brought before a court of competent jurisdiction unless a separate written agreement provides another dispute-resolution procedure.
23. General Provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our prior written consent. These Terms, together with the Privacy Policy, applicable store policies, and order-specific written documents, form the agreement governing the Services. If an order-specific signed or confirmed document conflicts with these general Terms, the order-specific document controls for that order.
24. Changes to These Terms
We may update these Terms to reflect changes in our Services, business practices, or legal obligations. The current version will be posted on this page with an updated date. Changes apply from the effective date shown and do not retroactively change a confirmed order unless agreed or required by law.
